TERMS AND CONDITIONS

By purchasing your ticket to The Consciousness Revolution Gala (“Gala”), You (referred to as you “You” or “Your”) are agreeing and in accordance with these Terms and Conditions (“Terms”).

In exchange for the opportunity of attending the Gala organized by the Company and for the use of the property, facilities, and services of the Company and Gala venue, You understand and agree to the following:

Your Ticket

Please be advised, the purchase of a Ticket to attend the Gala shall constitute Your unconditional acceptance of the following terms and conditions contained within these Terms between You and The Litt Factor Inc. (“Company”) to attend all or part of the Gala, and the Company’s privacy policy (“Privacy Policy”), which can be found at https://thelittfactor.com/privacy-policy/.

Payment and Cancellation Policy

All sales are final. Please note there are no refunds, nor are there discounts for arriving late, leaving early, flight cancellations, travel delays or illness. If you cancel your participation in the Gala for any reason, this policy will apply with no exceptions. All tickets are non-transferrable.

Compliance with Venue Rules

You agree to observe and obey all posted rules and warnings, and further agree to follow any oral instructions or directions given by the Company or the employees, representatives, or agents of the Company or Gala venue employees.

Assumption of Risks and Release Waiver

You recognize that there are certain inherent risks associated with attendance and participation at the Gala and You assume full responsibility for personal injury to yourself, and further release and discharge the Company for injury, loss, or damage arising out of your use of or presence upon the Gala venue whether caused by the fault of yourself, The Litt Factor Inc., or third parties. Food and alcohol will be provided. You assume all responsibility to eat and drink responsibly. You agree that neither the Company nor the Gala venue will be held responsible for any damages or injuries incurred when eating and drinking at the Gala.

Indemnification

You agree to indemnify and defend the Company and its employees, representatives, and agents against all claims, causes of action, damages, judgments, costs or expenses, including attorney fees and other litigation costs, which may in any way arise from Your use of the Gala venue or Your attendance at the Gala.

Limitation of Liability

To the maximum extent permitted by applicable law, the the Company shall not be liable for any indirect, consequential, or special damages, including economic loss, loss of profits, loss of business, depletion of goodwill, interest allowed by law, including pre-judgment interest, post-judgment interest, court costs, expenses of any legal action, expert fees, attorney fees, punitive damages, treble damages, or any similar loss, and the Company’s aggregate liability under this Terms for any event giving rise to any claims, causes of action, damages, judgments, or other legal action is limited to the price of Your Ticket.

Arbitration

You agree that any dispute arising out of or relating to this Terms shall be resolved through binding arbitration according to the state of Florida.

You understand and agree that accepting binding arbitration through the American Arbitration Association (“AAA”) in these Terms means you are relinquishing the right to have the dispute decided in a court by a judge or jury, and your right to discovery and appeal.

Governing Law, Jurisdiction, and Forum Selection

These Terms shall be governed by, and construed in accordance with, the laws of the State of Florida without regard to conflict of law principles.

All Parties consent to the jurisdiction of the federal and state courts serving Palm Beach County, Florida, and the Parties agree that any legal proceeding arising out of or in connection with these Terms must be brought solely in the federal or state courts located in Palm Beach County, Florida.

Confidentiality

The Company respects the privacy of all Gala attendees and you agree that any confidential information shared by the Gala attendees or any representative of the Company is confidential, proprietary, and belongs solely and exclusively to the Gala attendee who discloses it.

You agree not to disclose, reveal or make use of any confidential information or any transactions or during discussions, during the retreat or otherwise. You will keep confidential information in strictest confidence and shall use the best efforts to safeguard the confidential information and to protect it against disclosure, misuse, espionage, loss and theft.

Photo and Video Release

You expressly grant full permission for the Company to use, reuse, reproduce, publish, or republish any photos, videos, recordings, or any other record of Your participation and/or attendance at the Gala, including all the Company sponsored pre and post Gala activities, in any medium now known or hereafter developed, alone or in conjunction with other material, without restriction as to changes or alterations, as well as to use Your Publicity Rights for editorial, educational, promotional, advertising, and commercial purposes. “Publicity Rights” mean an individual’s descendible, transferable-upon-death property interest in the individual’s name, voice, signature, photograph, image, likeness, distinctive appearance, gestures, mannerisms, or other unequivocally identifying features.

You waive any right to inspect or approve the finished photographs, videos, or other files that may be used in conjunction with them now or in the future, whether that use is known to You or unknown and You waive all rights to royalties or other compensation arising from or related to the use of Your Publicity Rights embedded within any photos, videos, recordings, or any other record of Your participation and/or attendance at the Gala. Further, You relinquish all rights, title, and interest in any and all photos, videos, recordings, or any other record of the Gala You may take or capture to the Company as a “work made for hire” under Title 17 Section 101 of the U.S. Copyright Act.

You hold harmless and release and forever discharge the Company from all claims, demands, and causes of action which You, Your heirs, representatives, executors, administrators, or any other persons acting on Your behalf or on behalf of Your estate have or may have by reason of this authorization.
